Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Opsient platform and services ("Service") provided by Opsient ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Opsient is a self-hosted and cloud-based incident management platform that provides automated runbook execution, on-call management, SLA tracking, alert correlation, status page hosting, and related operational tooling for software engineering and operations teams.
2. Account Terms
2.1 Registration
To use the Service, you must create an account by providing accurate and complete information, including a valid email address. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
2.2 Eligibility
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2.3 Account Security
You must notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to store, transmit, or process any content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Service, other accounts, systems, or networks connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Use the Service to send unsolicited communications, spam, or bulk messages.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except where permitted by applicable law.
- Use the Service in any manner that could disable, overburden, or impair the Service or interfere with any other party's use of the Service.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
4. Data Ownership
You retain all rights, title, and interest in and to any data, content, or information that you submit, upload, or transmit through the Service ("Customer Data"). We do not claim ownership of your Customer Data.
You grant us a limited, non-exclusive license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service. We will not access your Customer Data except as necessary to operate the Service, provide support at your request, or comply with applicable law.
For self-hosted deployments, all Customer Data remains on your own infrastructure at all times.
5. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. We do not offer a guaranteed Service Level Agreement (SLA) for the platform itself, except where explicitly stated in a separate Enterprise agreement.
We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We will make reasonable efforts to notify you in advance of any planned downtime.
6. Payment Terms
6.1 Billing
Paid plans are billed on a monthly or annual basis, as selected at the time of subscription. All fees are stated in US dollars and are exclusive of applicable taxes unless otherwise noted.
6.2 Payment
Payment is processed through our third-party payment provider (Stripe). You authorize us to charge your designated payment method for all fees incurred. Annual subscriptions are billed at the beginning of each annual period; monthly subscriptions are billed at the beginning of each monthly period.
6.3 Refund Policy
Monthly subscriptions may be canceled at any time, effective at the end of the current billing period. No partial refunds are issued for unused portions of a monthly billing period. Annual subscriptions may be refunded on a pro-rata basis within the first 30 days of the subscription term. After 30 days, annual subscriptions are non-refundable but may be canceled effective at the end of the annual period.
6.4 Price Changes
We reserve the right to change our pricing at any time. Price changes for existing subscriptions will take effect at the start of the next billing period following at least 30 days' notice.
7. Termination
7.1 Termination by You
You may cancel your account at any time through the Service settings or by contacting us. Upon cancellation, your access to the Service will continue until the end of your current billing period.
7.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment of fees, or conduct that we reasonably determine to be harmful to the Service or other users.
7.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will make your Customer Data available for export for 30 days following termination. After this period, we may delete your Customer Data in accordance with our data retention policies.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event shall Opsient, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
- Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us during the twelve (12) months preceding the event giving rise to the claim.
- These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
9. Indemnification
You agree to indemnify, defend, and hold harmless Opsient and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
10. Intellectual Property
The Service, including its design, features, code, documentation, trademarks, and all other intellectual property, is owned by Opsient and is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
